Additional Placement Terms

For a limited time, eligible Relief-to-Hire™ placements entered into pursuant to the Customer Agreement (found here: Roo Customer Agreement for Practices) (each a “Relief-to-Hire™ Placement”) may include a 90-day Placement guarantee (as further described below, the “Placement Guarantee”) and the option to split payment of the applicable Placement Fee into three equal monthly installments (as further described below, the “Payment Plan”). This offer is only available for Relief-to-Hire™ Placements with an invoice date between September 1, 2026 and December 31, 2026. Practices must be in good standing with Roo and otherwise in compliance with the Customer Agreement to qualify for the Placement Guarantee and/or the Payment Plan. Eligibility for the Placement Guarantee or the Payment Plan does not guarantee eligibility for the other. Roo reserves the exclusive right to change, extend, or discontinue the limited-time offering at its sole discretion without liability to you. Any such Relief-to-Hire™ Placement shall be subject to the applicable terms of the Customer Agreement. Any terms used but not defined herein shall have the respective meaning set forth in the Customer Agreement.

The terms applicable to the Placement Guarantee shall include:

  • Eligibility window: Applies only to Relief-to-Hire™ Placements with an invoice date between September 1, 2026 and December 31, 2026. Roo reserves the right to request documentation verifying the applicable invoice date.
  • Coverage: If the Professional’s last day of employment occurs within 90 days of the hire date, the Relief-to-Hire™ Placement may qualify for the Placement Guarantee.
  • Notice requirement: The Practice must notify Roo in writing of the Professionals’ last day of employment no later than 14 days after the Professional’ last day. Failure to provide such notice to Roo shall automatically forfeit your right to the Placement Guarantee.
  • Documentation: Roo may request proof of the termination date, including but not limited to an employment verification letter, an HRIS/ATS export, or a payroll register excerpt (compensation details may be redacted). If none of these options are available, Roo may require you to coordinate directly with finance@roo.vet for acceptable alternative documentation. Roo reserves the exclusive right to determine whether any alternative documentation is acceptable. Failure to provide any required documentation shall automatically forfeit your right to the Placement Guarantee.
  • Limited remedy: Subject to your compliance with the terms applicable to the Placement Guarantee, Roo may issue you a credit toward Placement Fees already paid for the Practice’s next Placement. Without limiting as set forth in the Customer Agreement, including Section 10, this credit is valid for 6 months from the date it's issued and can only be used toward the Practice’s next Relief-to-Hire™ Placement. Roo reserves the right to void or reject any use of or transaction with any such credits not towards a Relief-to-Hire™ Placement, including any use to settle Shift invoices or Shift Fees.

The terms applicable to the Payment Plan shall include:

  • Standard terms: Subject to the terms set forth herein, full-time Placement Fees invoiced between September 1, 2026 and December 31, 2026 may be split into three equal monthly installments to be paid by the applicable Practice every 30 days over a 90-day period. The Payment Plan shall be offered as the default payment option for qualifying Practices, but Practices may choose to opt-out.
  • Opt-out: Qualifying Practices may choose to pay the full amount of the applicable Placement Fee upfront when owed in accordance with the Customer Agreement instead of using the Payment Plan.
  • Agreement required: Payment Plans shall be documented in a signed payment agreement executed by Roo and the applicable Practice (via DocuSign) before the Payment Plan can take effect.
  • Eligibility: Practices must be in good standing with Roo and otherwise in compliance with the Customer Agreement to be eligible for the Payment Plan; otherwise, the applicable Placement Fee will be due in accordance with the Customer Agreement. Roo’s Career Pathways team may provide assistance upon request to help get Practices into good standing in order to be eligible for the Payment Plan. Any such assistance is not a guarantee that a Practice is eligible or may become eligible for the Payment Plan.
  • Payment method: Practices must have a valid payment method on file with Roo to be eligible for the Payment Plan. Practices on special invoicing terms (e.g., Net 30) are welcome to add a valid payment method to qualify for the Payment Plan; absent a valid payment method on file, the applicable Placement Fee shall be invoiced and due in accordance with the Customer Agreement and the Practice's existing invoicing terms. Roo reserves the right to determine, in its sole discretion, whether a payment method qualifies as valid for purposes of the Payment Plan.
  • Payment schedule: The first installment shall be charged by Roo to you in accordance with the Customer Agreement the Friday before the applicable Professional’s start date. The second and third installments shall be charged by Roo to you in accordance with the Customer Agreement approximately 30 and 60 days after the first charge, adjusted as determined by Roo to the closest future Friday to align to internal processing cycle.
    • Example: Hire date of Monday, Sept 7 → 1st installment charged Fri, Sept 4. 2nd installment charged Fri, Oct 9. 3rd installment charged Fri, Nov 6.
  • Roo's right to modify: Without limiting as otherwise set forth herein, Roo may in its sole and exclusive discretion discontinue or terminate an offer of or enrollment in the Payment Plan for a Practice’s default on any payment owed to Roo.
